1. Acceptance of Terms

By accessing or using the services of BrandMarketCore ("Company"), located at VIA GALLIA 202, 00183 ROMA, Italy, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Scope of Services

BrandMarketCore provides brand strategy, market positioning, competitive analysis, and related consulting services. The scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or project proposal mutually agreed upon by both parties.

3. Payment Terms

All fees are quoted in the project proposal and are due according to the payment schedule outlined therein. Invoices are payable within 14 days of issuance. Late payments may incur a 2% monthly interest charge. BrandMarketCore reserves the right to suspend work for invoices unpaid beyond 30 days.

4. Intellectual Property

Upon full payment, all deliverables created specifically for the client under a project SOW become the property of the client. BrandMarketCore retains the right to display work in portfolios and case studies unless otherwise agreed in writing. Pre-existing methodologies, frameworks, and tools used during the engagement remain the property of BrandMarketCore.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.

6. Limitation of Liability

BrandMarketCore's total liability for any claim arising from or related to these services shall not exceed the total fees paid by the client under the applicable SOW. BrandMarketCore shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.

7. Termination

Either party may terminate an engagement with 14 days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Work products delivered prior to termination remain subject to the intellectual property provisions above.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy. Any disputes shall be resolved through binding arbitration in Rome, Italy, under the rules of the Italian Arbitration Chamber.

2. Project-Based Refunds

For project-based engagements, refunds are evaluated based on the following criteria:

• Before Work Commences: Full refund of any advance payment if cancellation is made before work has begun on the project.
• During Active Project: Refunds are calculated proportionally based on the percentage of work completed at the time of cancellation. The client retains all deliverables produced up to that point upon payment for completed work.
• After Delivery: No refunds are issued after final deliverables have been accepted and approved by the client.

3. Retainer & Subscription Refunds

For ongoing retainer or subscription-based services:

• Monthly retainers may be cancelled with 14 days' notice before the next billing cycle.
• No partial-month refunds are issued for mid-cycle cancellations.
• Unused prepaid hours do not roll over to subsequent months.

4. Dissatisfaction & Revisions

If you are unsatisfied with deliverables, BrandMarketCore will provide up to two (2) rounds of revisions at no additional cost within the scope of the original project SOW. Additional revision rounds beyond this may incur extra fees as outlined in the project proposal.

5. Non-Refundable Items

The following are non-refundable:

• Third-party costs incurred on behalf of the client (e.g., stock imagery, software licenses, domain registrations)
• Work completed and approved during the engagement
• Consulting fees for time already delivered

6. How to Request a Refund

To request a refund, contact us at [email protected] with your project details, invoice number, and reason for the request. Refund requests are reviewed within 5 business days. Approved refunds are processed within 14 business days to the original payment method.
